Important Notice to Solicitor Template Sellers
- YOU ARE RESPONSIBLE FOR ALL TEMPLATES YOU SELL THROUGH THE PLATFORM. YOU INDEMNIFY THE PLATFORM FOR ALL CLAIMS ARISING FROM YOUR TEMPLATES, INCLUDING CLAIMS BY BUYERS, REGULATORY CLAIMS, AND THIRD-PARTY CLAIMS.
What This Agreement Covers
This Agreement governs your sale of legal templates, precedents, documents, and related materials ('Solicitor Templates') to Buyers through the Platform. As a Solicitor Seller, you bear full responsibility for:
Quality and accuracy of your Templates
Regulatory compliance of your Templates
Intellectual property rights in your Templates
Consumer protection obligations to Buyers
All claims arising from your Templates
Platform's Role
The Platform is a marketplace facilitating sales. The Platform:
Does NOT review or approve your Templates
Does NOT verify accuracy or compliance
Does NOT provide legal advice
Is NOT responsible for your Template content
Is NOT liable to Buyers for your Templates
Your Indemnity Obligations
🛡 INDEMNITY: You indemnify the Platform for ALL claims from Buyers relating to your Templates
🛡 INDEMNITY: You indemnify the Platform for regulatory action relating to your Templates
🛡 INDEMNITY: You indemnify the Platform for IP infringement claims
🛡 INDEMNITY: You indemnify the Platform for consumer protection claims
🛡 INDEMNITY: You indemnify the Platform for any losses arising from your Templates
Professional Responsibility
- As an SRA-regulated solicitor, selling Templates may engage your professional obligations. Templates may constitute 'legal services' subject to SRA regulation. You must consider SRA Code implications.

Part A: General Provisions
- Definitions
1.1 In this Agreement:
'AML Templates' means templates relating to anti-money laundering compliance, including policies, risk assessments, CDD forms, and procedures.
'Buyer' means any person who purchases or downloads Solicitor Templates through the Platform.
'Claim' means any claim, action, proceeding, demand, liability, loss, damage, cost, or expense.
'Consumer' means a Buyer who is an individual acting for purposes wholly or mainly outside their trade, business, craft, or profession.
'Consumer Rights Act' means the Consumer Rights Act 2015.
'Digital Content' means data produced and supplied in digital form, including Solicitor Templates.
'FCA Templates' means templates relating to FCA-regulated activities or Consumer Duty compliance.
'Indemnified Parties' means the Platform, its parent companies, subsidiaries, affiliates, directors, officers, employees, and agents.
'Intellectual Property' or 'IP' means patents, trademarks, copyright, database rights, design rights, and other intellectual property rights.
'KYC Templates' means templates relating to know your customer procedures.
'Losses' means all losses, liabilities, damages, costs, expenses (including legal fees), fines, penalties, and other amounts.
'Platform' means [Platform Name], operated by [Company Name].
'Platform Commission' means the fee payable to the Platform on Template sales.
'Precedent' means a template legal document for adaptation and use.
'Seller' or 'You' means the solicitor or authorised body selling Templates through the Platform.
'Solicitor Template' or 'Template' means any document, template, precedent, checklist, form, policy, procedure, guidance, or other material offered for sale by you through the Platform.
'SRA' means the Solicitors Regulation Authority.
'Template Listing' means the listing page for a Template on the Platform.
- Platform Status
2.1 The Platform is a technology marketplace. The Platform:
(a) Facilitates sales between Sellers and Buyers;
(b) Provides payment processing services;
(c) Hosts Template Listings;
(d) Does NOT create, review, or approve Templates;
(e) Does NOT verify Template accuracy or compliance;
(f) Does NOT provide legal advice;
(g) Is NOT regulated by the SRA;
(h) Is NOT a party to the contract between you and Buyers.
2.2 The contract for sale of Templates is between you (the Seller) and the Buyer directly. The Platform is not a party to that contract.
- Seller Registration
3.1 To sell Templates, you must:
(a) Be a qualified solicitor admitted in England and Wales;
(b) Hold a current practising certificate without relevant restrictions;
(c) Be registered on the Platform as a verified solicitor;
(d) Complete the Seller registration process;
(e) Accept these Seller Terms;
(f) Provide accurate seller information;
(g) Maintain adequate professional indemnity insurance.
3.2 The Platform may verify your SRA registration before approving Seller status.
- Scope of Agreement
4.1 This Agreement governs:
(a) Your offer and sale of Templates through the Platform;
(b) Your obligations regarding Template quality and compliance;
(c) Your obligations to Buyers;
(d) Your indemnity obligations to the Platform;
(e) Intellectual property rights;
(f) Payment and commission arrangements.
Part B: Solicitor Template Requirements
- Template Standards
5.1 All Templates you offer for sale must:
(a) Be created by you or owned by you with rights to sell;
(b) Be accurate and professionally prepared;
(c) Reflect current law and regulatory requirements;
(d) Be suitable for their stated purpose;
(e) Be free from errors, omissions, and defects;
(f) Not infringe any third-party intellectual property;
(g) Comply with all applicable regulations;
(h) Include appropriate disclaimers and warnings.
📦 SELLER OBLIGATION: You must ensure all Templates meet professional standards expected of a reasonably competent solicitor.

6.1 You may sell the following types of Templates:

Comprehensive and current
- Prohibited Templates
7.1 You must NOT sell Templates that:
(a) Facilitate illegal activity;
(b) Promote tax evasion or avoidance schemes;
(c) Are designed to deceive or mislead;
(d) Infringe intellectual property rights;
(e) Breach client confidentiality;
(f) Contain malware or harmful code;
(g) Are defamatory or obscene;
(h) Breach professional conduct rules;
(i) Are materially out of date;
(j) Are copied from other sources without rights.
- Selling prohibited Templates is grounds for immediate termination and may be reported to the SRA.
- Quality Requirements
8.1 Each Template must:
(a) Be professionally formatted and presented;
(b) Use clear, accurate language;
(c) Include guidance notes where appropriate;
(d) Identify areas requiring customisation;
(e) Include version number and date;
(f) State the jurisdiction (England and Wales);
(g) Include required regulatory warnings;
(h) Be reviewed before listing.
- Accuracy and Currency
9.1 You warrant that each Template:
(a) Is accurate as at the date of listing;
(b) Reflects current law and practice;
(c) Will be updated when law or regulations change;
(d) Will be withdrawn if no longer current;
(e) Contains accurate regulatory references.
9.2 You must:
(a) Monitor relevant legal and regulatory developments;
(b) Update Templates within a reasonable time of changes;
(c) Notify Buyers of material updates where possible;
(d) Withdraw outdated Templates from sale.
Part C: Regulatory Compliance - Templates
- SRA Compliance
10.1 Templates relating to SRA requirements must:
(a) Comply with current SRA Standards and Regulations;
(b) Reflect current SRA Code of Conduct;
(c) Meet SRA Transparency Rules requirements (where applicable);
(d) Be consistent with SRA guidance;
(e) Be updated following SRA changes.
10.2 Client care Templates must include:
(a) All information required by SRA Code Rule 8;
(b) Complaints procedure information;
(c) Legal Ombudsman contact details and TIME LIMITS;
(d) SRA contact details;
(e) Costs information requirements.
- Legal Ombudsman time limits MUST be communicated: within 1 YEAR of act/omission; within 6 YEARS longstop; within 6 MONTHS of final response.
10.3 You acknowledge that selling Templates may constitute provision of legal services and engage SRA regulation.
- Law Society Standards
11.1 Templates referencing Law Society requirements must:
(a) Accurately represent Law Society guidance;
(b) Be consistent with current practice notes;
(c) Meet accreditation standards where relevant;
(d) Be updated following Law Society changes.
- AML/KYC Template Requirements
12.1 AML and KYC Templates must:
(a) Comply with MLR 2017 as amended;
(b) Reflect LSAG 2025 guidance;
(c) Include correct beneficial ownership thresholds (MORE THAN 25%);
(d) Cover all required CDD elements;
(e) Address EDD requirements;
(f) Include sanctions screening requirements;
(g) Be updated following regulatory changes.
- LSAG 2025 changed beneficial ownership threshold from '25% or more' to 'MORE THAN 25%'. All AML Templates must reflect this change.
12.2 AML Templates must include prominent warnings that:
(a) Templates are guidance only;
(b) Buyers must adapt for their own practice;
(c) AML compliance is the Buyer's legal responsibility;
(d) Criminal liability for AML failures rests with the Buyer;
(e) Templates do not guarantee regulatory compliance.
- FCA-Related Templates
13.1 Templates relating to FCA matters must:
(a) Accurately reflect FCA Handbook requirements;
(b) Comply with Consumer Duty where applicable;
(c) State they are not FCA-approved;
(d) Include appropriate regulatory warnings;
(e) Be updated following FCA changes.
13.2 FCA Templates must warn Buyers to:
(a) Verify against current FCA requirements;
(b) Ensure appropriate FCA authorisation or exemption;
(c) Seek specialist FCA advice if needed.
- Due Diligence Templates
14.1 Due diligence Templates must:
(a) Be comprehensive for their stated purpose;
(b) Reflect current legal requirements;
(c) Include appropriate warnings about limitations;
(d) Not create false assurance of completeness;
(e) State that professional judgment is required.
Part D: Seller Obligations
- Seller Warranties
15.1 By listing a Template for sale, you warrant that:
(a) You are the owner or have rights to sell the Template;
(b) The Template does not infringe any third-party IP;
(c) The Template is accurate and professionally prepared;
(d) The Template complies with applicable regulations;
(e) The Template is fit for its described purpose;
(f) The Template description is accurate and not misleading;
(g) You have the professional competence to create the Template;
(h) The Template contains required disclaimers;
(i) You will honour Buyer rights under consumer law.
15.2 These warranties are fundamental terms. Breach may result in immediate termination.
- Ongoing Obligations
16.1 Throughout the listing period, you must:
(a) Maintain the accuracy of Template Listings;
(b) Monitor legal and regulatory changes;
(c) Update Templates as necessary;
(d) Respond to Buyer queries promptly;
(e) Handle complaints in accordance with this Agreement;
(f) Maintain SRA registration and practising certificate;
(g) Maintain adequate PII;
(h) Notify the Platform of any issues affecting Templates.
- Template Updates
17.1 When law or regulations change:
(a) You must review affected Templates within 30 days;
(b) You must update Templates or withdraw them from sale;
(c) Updated Templates must be clearly versioned;
(d) You should notify recent Buyers of material changes where practicable;
(e) Failure to update may result in listing removal.
- Buyer Communications
18.1 When communicating with Buyers:
(a) Respond to queries within 5 business days;
(b) Be professional and courteous;
(c) Do not provide specific legal advice;
(d) Direct Buyers to seek independent advice for specific matters;
(e) Do not make representations beyond Template Listings;
(f) Maintain records of communications.
- Complaints Handling
19.1 You must have a complaints procedure that:
(a) Allows Buyers to complain;
(b) Provides for investigation of complaints;
(c) Provides a response within reasonable time;
(d) Offers remedies including refunds where appropriate;
(e) Informs Buyers of escalation routes.
19.2 Notify the Platform of any complaint that:
(a) Alleges Template inaccuracy or non-compliance;
(b) Involves regulatory concerns;
(c) May result in legal proceedings;
(d) Involves consumer protection issues.
Part E: Intellectual Property
- IP Ownership and Warranties
20.1 You warrant that:
(a) You own all intellectual property in Templates you sell;
(b) Or you have all necessary rights and licences to sell;
(c) Templates do not infringe any third-party IP;
(d) No third party has claims to the Templates;
(e) Templates are your original work (or properly licensed).
20.2 You retain ownership of IP in your Templates, subject to licences granted under this Agreement.
- Licence to Platform
21.1 You grant the Platform a non-exclusive, royalty-free, worldwide licence to:
(a) Host and display Template Listings;
(b) Reproduce Templates for delivery to Buyers;
(c) Create backup copies;
(d) Use Template information for Platform promotion;
(e) Sub-license to service providers for Platform operation.
21.2 This licence continues for the duration of listing plus any period needed to fulfil obligations to Buyers.
- Licence to Buyers
22.1 On sale, you grant each Buyer a licence to:
(a) Download and use the Template;
(b) Adapt the Template for their own use;
(c) Use the Template with their clients (if applicable);
(d) Make copies for internal use.
22.2 The Buyer licence does NOT include rights to:
(a) Resell the Template;
(b) Redistribute the Template;
(c) Create derivative works for sale;
(d) Remove attribution or copyright notices;
(e) Claim ownership of the Template.
- Third Party IP
23.1 If your Template incorporates third-party content:
(a) You must have appropriate licences;
(b) Licences must permit sub-licensing to Buyers;
(c) You must attribute third-party content appropriately;
(d) You remain responsible for third-party content;
(e) You indemnify the Platform for third-party IP claims.
- IP Indemnity
24.1 You indemnify the Indemnified Parties against all Claims and Losses arising from:
(a) Infringement of third-party IP by your Templates;
(b) Claims that Templates were copied or plagiarised;
(c) Claims by third parties asserting IP rights;
(d) Costs of defending IP claims;
(e) Damages, settlements, or judgments in IP claims.
Part F: Consumer Protection
- BUYERS MAY BE CONSUMERS. CONSUMER RIGHTS ACT 2015 APPLIES. YOU CANNOT CONTRACT OUT OF CONSUMER RIGHTS.
- Consumer Rights Act 2015
25.1 You acknowledge that:
(a) Many Buyers may be Consumers;
(b) Consumer Rights Act 2015 applies to Consumer sales;
(c) Templates are 'digital content' under the Act;
(d) Statutory rights cannot be excluded;
(e) You bear Consumer protection obligations.
25.2 Under the Consumer Rights Act, digital content must:
(a) Be of satisfactory quality;
(b) Be fit for a particular purpose;
(c) Be as described;
(d) Match any pre-contract information.
- Digital Content Requirements
26.1 Your Templates (as digital content) must:
(a) Be of satisfactory quality - meeting reasonable expectations;
(b) Be fit for purpose - suitable for stated use;
(c) Match description - as per Template Listing;
(d) Not cause damage - to Buyer's devices or other digital content.
26.2 If Templates fail to meet these requirements, Consumers have rights to:
(a) Repair or replacement;
(b) Price reduction;
(c) Refund (in some circumstances).
- Consumer Information
27.1 Template Listings must provide Consumers with:
(a) Your identity and SRA registration;
(b) Contact details;
(c) Template description and functionality;
(d) Total price including taxes;
(e) Payment methods;
(f) Delivery information;
(g) Cancellation rights (or lack thereof);
(h) Complaints procedure;
(i) Compatibility requirements.
- Cancellation Rights
28.1 For digital content:
(a) Consumers normally have 14-day cancellation right;
(b) This right can be waived if Consumer consents to immediate download;
(c) Consumer must acknowledge loss of cancellation right;
(d) The Platform will obtain this acknowledgment at checkout.
28.2 If cancellation right applies:
(a) You must provide refund within 14 days;
(b) Refund must be by same payment method;
(c) No deduction for use during cancellation period.
- Remedies for Buyers
29.1 If a Template is faulty or not as described:
(a) You must offer repair or replacement if possible;
(b) If repair/replacement not possible, offer price reduction or refund;
(c) Respond to remedy requests within 14 days;
(d) Bear costs of remedies;
(e) Indemnify Platform if Platform provides remedies on your behalf.
Part G: Pricing and Payments
- Pricing
30.1 You set Template prices, which must:
(a) Be in GBP (£);
(b) Be inclusive of VAT (if applicable);
(c) Be clearly displayed;
(d) Be fair and not misleading;
(e) Represent genuine value.
30.2 You may change prices at any time, but changes do not affect completed purchases.
- Platform Commission
31.1 The Platform charges commission on each sale:
(a) Commission rate: [X]% of sale price (excluding VAT);
(b) Commission is deducted before payment to you;
(c) Commission is non-refundable except in Platform error;
(d) Platform may change commission rates with 30 days' notice.
31.2 Commission covers:
(a) Platform hosting and infrastructure;
(b) Payment processing;
(c) Buyer support;
(d) Marketing and promotion;
(e) Platform development.
- Payment Processing
32.1 The Platform processes payments:
(a) Platform collects payment from Buyers;
(b) Platform deducts commission;
(c) Platform pays you the balance;
(d) Payment cycle: [monthly/fortnightly];
(e) Minimum payout threshold: £[X];
(f) Payment by bank transfer to your nominated account.
- Refunds
33.1 Refund responsibility:
(a) You are responsible for refunds to Buyers;
(b) Platform may process refunds on your behalf;
(c) Refunded amounts will be deducted from your account;
(d) Commission is not refunded on Buyer refunds;
(e) You indemnify Platform for refund costs.
- Tax Obligations
34.1 You are responsible for:
(a) Your own tax registration and compliance;
(b) VAT registration if required;
(c) Charging and accounting for VAT;
(d) Income tax on Template sales;
(e) Providing tax invoices to Buyers if requested;
(f) All tax obligations arising from sales.
34.2 The Platform is not responsible for your tax compliance and provides no tax advice.
Part H: Buyer Disclaimers
- REQUIRED: All Templates must include the following disclaimers to Buyers.
- Required Buyer Disclaimers
35.1 Every Template must prominently include disclaimers stating:
(a) The Template does not constitute legal advice;
(b) Buyers must independently verify suitability;
(c) Buyers must adapt Templates for their specific needs;
(d) Regulatory compliance is the Buyer's responsibility;
(e) Buyers should seek independent professional advice;
(f) The Template may not be current at time of use;
(g) No solicitor-client relationship is created.
35.2 Template Listings must include disclaimers stating:
(a) Templates are for general guidance only;
(b) Templates must be reviewed before use;
(c) No guarantee of regulatory compliance;
(d) Seller's liability is limited (subject to consumer rights).
- No Legal Advice
36.1 All Templates must clearly state:
ℹ IMPORTANT: This Template does not constitute legal advice. It is provided for general guidance only. You must independently review this Template and adapt it for your specific circumstances. You should seek independent legal advice before relying on this Template. No solicitor-client relationship is created by the purchase or use of this Template.
- Independent Review Warning
37.1 All Templates must include:
- INDEPENDENT REVIEW REQUIRED: This Template may not be suitable for your specific needs. You must independently verify that this Template is current, accurate, and appropriate for your intended use. You must adapt this Template for your specific circumstances. The Seller does not warrant that this Template complies with all applicable regulations.
- Limitation of Liability to Buyers
38.1 Subject to Consumer rights that cannot be excluded:
(a) Your liability to each Buyer is limited to the price paid;
(b) You exclude liability for indirect and consequential losses;
(c) You exclude liability for regulatory non-compliance by Buyer;
(d) Limitation clauses must be clear and prominent.
38.2 You cannot exclude or limit liability for:
(a) Death or personal injury from negligence;
(b) Fraud or fraudulent misrepresentation;
(c) Statutory Consumer rights that cannot be excluded;
(d) Any liability that cannot be excluded by law.
Part I: Indemnity Provisions
⛔ You Fully Indemnify the Platform for All Claims Arising From Your Templates.
- General Indemnity
39.1 You agree to indemnify, defend, and hold harmless the Indemnified Parties from and against all Claims and Losses arising out of or in connection with:
(a) Your Templates (content, accuracy, compliance);
(b) Your Template Listings (descriptions, representations);
(c) Your breach of this Agreement;
(d) Your breach of Seller warranties;
(e) Your dealings with Buyers;
(f) Any claims by any Buyer;
(g) Any regulatory action relating to your Templates;
(h) Any IP infringement by your Templates;
(i) Your tax or VAT obligations.
🛡 INDEMNITY: This indemnity covers ALL claims arising from your Templates, regardless of fault or negligence by any party.
- Buyer Claims Indemnity
40.1 You indemnify the Indemnified Parties against all Claims by Buyers including:
(a) Claims that Templates are inaccurate or defective;
(b) Claims that Templates do not match descriptions;
(c) Claims for professional negligence;
(d) Claims under Consumer Rights Act;
(e) Claims for refunds or compensation;
(f) Claims alleging Platform is liable for your Templates;
(g) Any other claims relating to your Templates.
40.2 This includes Claims where Buyers allege the Platform is:
(a) Jointly liable with you;
(b) Vicariously liable for your Templates;
(c) Responsible for Template quality;
(d) A party to the sale contract.
- Regulatory Indemnity
41.1 You indemnify the Indemnified Parties against Claims and Losses arising from:
(a) SRA action relating to your Templates;
(b) Claims that Templates breach SRA requirements;
(c) Law Society complaints about your Templates;
(d) FCA action relating to FCA Templates;
(e) AML supervisory action relating to AML Templates;
(f) Any regulatory investigation involving your Templates;
(g) Trading Standards or consumer protection enforcement.
- IP Indemnity
42.1 You indemnify the Indemnified Parties against all IP Claims including:
(a) Copyright infringement claims;
(b) Claims of plagiarism or copying;
(c) Database right infringement;
(d) Any third-party IP claims;
(e) Costs of IP defence and settlements.
- Consumer Protection Indemnity
43.1 You indemnify the Indemnified Parties against:
(a) Consumer Rights Act claims by Buyers;
(b) Trading Standards enforcement;
(c) Competition and Markets Authority action;
(d) Claims under Consumer Contracts Regulations;
(e) Any consumer protection enforcement.
- Third Party Indemnity
44.1 You indemnify the Indemnified Parties against Claims by third parties:
(a) Affected by your Templates;
(b) Claiming damages from Template use by Buyers;
(c) Asserting IP rights;
(d) Any other third party with claims relating to your Templates.
44.2 Indemnities:
(a) Are NOT capped or limited;
(b) Survive termination of this Agreement;
(c) Are primary obligations;
(d) May be enforced by any Indemnified Party.
Part J: Platform Rights and Remedies
- Template Review and Removal
45.1 The Platform may (but is not obliged to):
(a) Review Templates at any time;
(b) Request changes to Templates or Listings;
(c) Remove Templates without notice if they breach this Agreement;
(d) Remove Templates following complaints;
(e) Remove Templates for any reason with 7 days' notice.
45.2 Immediate removal (without notice) may occur if:
(a) Template appears to breach law;
(b) Template infringes IP rights;
(c) Regulatory concerns arise;
(d) Serious Buyer complaints received;
(e) Template poses reputational risk to Platform.
- Suspension and Termination
46.1 The Platform may suspend your Seller account if:
(a) You breach this Agreement;
(b) Your SRA registration lapses or is restricted;
(c) Multiple Buyer complaints received;
(d) Regulatory concerns arise;
(e) You fail to respond to Platform communications;
(f) You fail to update outdated Templates.
46.2 The Platform may terminate your Seller status:
(a) On 30 days' notice for any reason;
(b) Immediately for material breach;
(c) Immediately if you lose SRA authorisation;
(d) Immediately for IP infringement;
(e) Immediately for fraud or dishonesty.
46.3 On termination:
(a) Templates are removed from sale;
(b) Outstanding payments are paid (less any amounts owed);
(c) Indemnity obligations survive;
(d) Buyer licences already granted continue;
(e) You must continue to support existing Buyers for 12 months.
- Platform Liability
47.1 The Platform is NOT liable for:
(a) Content of your Templates;
(b) Accuracy of your Templates;
(c) Regulatory compliance of your Templates;
(d) Your dealings with Buyers;
(e) Buyer losses from your Templates;
(f) Loss of sales or revenue;
(g) Indirect or consequential losses.
47.2 Maximum Platform liability (where any liability arises):
(a) For any single claim: Platform Commission received for that Template;
(b) For all claims in any year: Total Platform Commission received from you that year.
Part K: General Provisions
- Insurance Requirements
48.1 You must maintain:
(a) Professional Indemnity Insurance meeting SRA requirements;
(b) PII adequate to cover Template sales;
(c) PII that covers claims from Buyers;
(d) Evidence of insurance on request.
48.2 Consider whether your PII:
(a) Covers sale of Templates as a distinct activity;
(b) Has adequate limits for potential claims;
(c) Covers Consumer claims;
(d) Has any relevant exclusions.
- Standard solicitor PII may not adequately cover Template sales. Review your policy and seek advice if uncertain.
- Records and Audit
49.1 You must maintain records of:
(a) All Templates listed and sold;
(b) Template versions and updates;
(c) Sales and revenue;
(d) Buyer communications;
(e) Complaints and resolutions;
(f) Refunds provided.
49.2 Records must be:
(a) Retained for at least 6 years;
(b) Available to the Platform on request;
(c) Sufficient to evidence compliance.
- Governing Law
50.1 This Agreement is governed by English law.
50.2 The courts of England and Wales have exclusive jurisdiction.
50.3 Each Indemnified Party may enforce indemnities under Contracts (Rights of Third Parties) Act 1999.
